Acceptance of These Terms of Service

Travlist AI, Inc. ("Travlist AI," "we," "us," or "our") provides our services (described below) and related content to you through our website(s) located at travlist.ai (the “Site” or "Platform") and related digital platforms and technologies (collectively, the “Service”). All access and use of the Service is subject to the terms and conditions contained in these Terms of Service (as amended from time to time, these "Terms of Service" or “Terms”). Please note: certain features or other account-based functionality for registered users described in these Terms may not be available until a future release. The Terms are intended to apply broadly to both current and future components of the Service as they become available.

 

By accessing, browsing, or otherwise using the Site, mobile applications, or any other aspect of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept the terms and conditions of these Terms, you may not access, browse, or otherwise use the Service.

 

We reserve the right, at our sole discretion, to change or modify portions of these Terms at any time. If we do this, we will update the "Last Updated" date at the top of this page and may provide additional notice, such as through the Service interface or via email. Your continued use of the Service after the effective date of any such changes constitutes your acceptance of the revised Terms. You should periodically visit this page to review the current Terms so you are aware of any updates. If you do not agree to abide by these or any future Terms, do not use (or continue to use) the Service.

 

PLEASE READ THESE TERMS CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES (WITH LIMITED EXCEPTION) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION, AND FURTHER (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST TRAVLIST AI ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (3) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED BY A JURY OR IN A COURT OF LAW.

Your privacy is important to us. For more information, please see our Privacy Policy. By using the Service, you consent to our collection, use, and disclosure of personal and other data as outlined therein.

1.  Access and Use of the Service

​

• Service Description. The Service is designed to be an AI-powered travel intelligence and planning platform that helps users better understand their trip options and make more informed decisions with greater confidence. Travlist AI allows users to create travel lists with destinations they want to visit, experiences they want to have, and goals they want to achieve during their lifetime. They can access personalized AI-generated insights and recommendations, find and book things to do, and engage with travel content from Travlist AI, other Platform users, or third parties. The Service’s travel community features may allow users to create and share travel histories (e.g., places visited), recommendations, ratings, reviews, itineraries, other content related to use of the Service or third-party social networking tools, where applicable.​

• Registration and Account Responsibilities. To access certain features of the Service, you may be required to register and create an account. You agree to provide and maintain accurate, current, and complete information during registration and use of the Service. You are solely responsible for safeguarding your account credentials and for any activities or actions under your account. You agree to immediately notify Travlist AI of any unauthorized use of your account or other breach of security. You must be at least 18 years old (or the age of majority in your jurisdiction, if older) to access or use the Service.

• Modifications to the Service. Travlist AI reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We may also introduce new features or impose limits on certain services or restrict access to parts or all of the Service.

​

• General Practices Regarding Use and Storage. Travlist AI may establish general practices and limits concerning use of the Service, including without limitation the maximum period of time that data or other content will be retained, and the maximum storage space allocated to users. You agree that Travlist AI has no responsibility or liability for the deletion or failure to store any data or content maintained or uploaded through the Service. You further acknowledge that Travlist AI reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

2.  Third-Party Services, Links, and Content

• The Service may provide access to or integrate with third-party websites, content, applications, services, or resources ("Third-Party Services"). These Third-Party Services are provided for your convenience and are not under the control of Travlist AI. Inclusion of any Third-Party Services does not imply endorsement by Travlist AI. You acknowledge and agree that Travlist AI is not responsible for the availability, accuracy, completeness, reliability, legality, or appropriateness of any such Third-Party Services, and is not liable for any damages or losses related to or arising from your use of any Third-Party Services.

• Your use of any Third-Party Services is at your own risk and subject to the terms, conditions, and policies applicable to those Third-Party Services, including their privacy and data collection practices.

​

• In particular, Travlist AI may rely on third-party services for features such as:

  • Mapping and geolocation

  • Payment processing

  • Booking integrations with travel service providers

  • Data storage and cloud hosting

  • Analytics and performance monitoring

  • Content or information sourced through publicly available travel data

​

• Bookings. Travlist AI does not sell any products or services directly, and all reservations for flights, lodgings, vacation packages and other travel-related products and services are made with a third party service (each a “Third Party Partner”). In order to make a booking, Travlist AI will either (1) redirect from our Service to the Third Party Partner to make the travel booking or (2) collect the corresponding information from you and provide it to the Third Party Partner to facilitate the booking. Please bear in mind that any bookings are being made with the Third Party Partner and not with Travlist AI. We are not responsible for bookings made with any Third Party Partner and we have no liability to you in respect of such a booking. The terms and ’of Third Party Partner will set out what rights you have against them and will explain their liability to you.

• Pricing. The price of products and services made available through the Service are provided by Third Party Partner and are subject to change. While we use commercially efforts to ensure that the pricing information is up to date, we do not make any guarantees as to the specific fees or amounts, and we reserve the right to update the information that is made available. In addition, prices made available through the Service may or may not be the total amount payable by you after taxes and other fees are included.

• Cancellations or Changes. If you need to cancel or change any bookings, you should contact the Third Party Partner directly if the reservation was made through the website or application of the Third Party Partner. If the booking was made within the Service, we will use commercially reasonable efforts to cancel or change your booking through features made available through our Service, where applicable. All cancellations and changes to your bookings are subject to any terms, limitations, or other conditions of the corresponding Third Party Partner. For example:​

  • Some properties do not permit cancellations of, or changes to, bookings after they are made; and

  • Where a cancellation affects more than one person on a booking (for example, two airline tickets booked on a single itinerary, etc.), any applicable cancellation charge will be applied in respect of each person on the cancelled booking.

  • If you book a stay at a property and you do not cancel or change your booking before the relevant cancellation policy period, you may be subject to the cancellation or change charges as shown in the relevant Rules and Restrictions;

• You do not have an automatic right to cancel or change a booking unless allowed by the Third Party Partner under their applicable terms and conditions. Third Party Partners may charge you fees for cancelling (in full or part) or changing a booking. Such fees will be set out in their applicable terms and conditions. You agree to pay any charges that you incur. Please be aware that for changes, the price of your new arrangements will be based on the applicable price at the time you ask us to make the change. This price may not be the same as when you originally booked the corresponding services.

• Payment Processing. In the event Travlist AI processes your payment information to make a booking on your behalf. We will do so using a third party payment processor and will not have direct access to your payment information. These payment processing services the applicable payment processor’s terms and conditions, privacy policy, and all other relevant agreements (collectively, the “Payment Processor Agreements”). By agreeing to these Terms of Service, users that use the payment functions of the Service also agree to be bound by the applicable Payment Processor Agreement for the payment function the user is using, as the same may be modified by the applicable payment processor from time to time. Travlist AI assumes no liability or responsibility for any payments you make through the Service. You represent and warrant to Travlist AI that such information is true and that you are authorized to use the payment instrument. You will promptly update your account information with Travlist AI or the corresponding payment processor, as applicable, of any changes (for example, a change in your billing address or credit card expiration date) that may occur.

3.  User Content and Platform Conduct

​

• User Content. The Service may allow you to upload, post, share, submit, or otherwise make available content such as reviews, photos, itineraries, travel lists, preferences, recommendations, or other materials ("User Content"). You retain ownership of your User Content but grant Travlist AI a non-exclusive, royalty-free, worldwide, transferable, sublicensable license to use, host, store, reproduce, modify, publish, display, and distribute such content as necessary to operate, improve, and promote the Service, in accordance with applicable law and our Privacy Policy.

• You are solely responsible for all User Content you contribute, and you represent and warrant that you own or control all rights in and to such content, and that our use of it will not violate any law or infringe any third party's rights. Travlist AI may, but is not obligated to, monitor, remove, or modify any User Content that violates these Terms or is otherwise deemed objectionable at our sole discretion.

• Prohibited Conduct. You agree not to use the Service to:

  • Upload, transmit, or share content that infringes on any intellectual property or proprietary rights.

  • Post or distribute spam, advertisements, or solicitations.

  • Harass, defame, threaten, or harm another person.

  • Impersonate any person, including through the use of generative AI or similar tools, or misrepresent your affiliation.

  • Collect personal data from others without consent.

  • Disrupt the Service, introduce malware, or gain unauthorized access.

  • Use the Service for commercial purposes not expressly approved by Travlist AI.

  • Attempt to reverse engineer or scrape data from the platform.

  • Upload or distribute sexually explicit, adult, or otherwise inappropriate content.

  • Post or promote hate speech, discriminatory language, or content that incites violence, bigotry, or harassment on the basis of race, ethnicity, nationality, religion, gender, gender identity, sexual orientation, age, disability, or any other protected status.

Travlist AI reserves the right to take appropriate action—including content removal, account suspension, or legal action—against users who violate these conduct requirements.

​

4.  Fees, Payments, and Subscriptions

 

• Paid Features and Billing. Some parts of the Service may be made available on a paid basis. If you elect to use paid aspects of the Service, you agree to the pricing and payment terms presented to you at the time of purchase. Travlist AI may add new services for additional fees, or amend fees and charges for existing services, at any time in its sole discretion.

• All fees are non-refundable, except as required by law or as otherwise expressly permitted in these Terms. You authorize Travlist AI (or its third-party payment processor) to charge the payment method you provide for all purchases and paid features of the Service.

​

• Subscriptions and Auto-Renewals. If you purchase a subscription to any feature or functionality, your subscription will continue for the duration identified in your order and will automatically renew for successive terms unless cancelled prior to the renewal date. By subscribing, you authorize Travlist AI to charge your payment method on a recurring basis without requiring your prior approval for each recurring charge.

• You may cancel your subscription at any time through your account settings or by contacting us at info@travlist.ai. If you cancel your subscription, you will continue to have access to the paid Service through the end of your billing period, but you will not receive a refund for any unused portion.

​

• Trials and Promotions. Travlist AI may offer promotional trial subscriptions. If you accept a trial, you agree that at the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the end of the trial period.

​

• Taxes. You are responsible for any applicable taxes, duties, or other governmental assessments related to your purchases, except for taxes based on Travlist AI’s net income.

​

• Refund Policy. Except as required by law, all purchases are final and non-refundable. If you believe you were charged in error, please contact us at info@travlist.ai within thirty (30) days of the charge.

​

• Referral Programs and Incentives. Travlist AI may, from time to time and at its sole discretion, offer users the opportunity to participate in referral programs, promotional campaigns, or other incentive-based features that reward you or other users for certain actions, such as referring new users or completing specific milestones. These programs may be subject to additional terms, which will be provided to you at the time the program is offered. Travlist AI reserves the right to modify, suspend, or terminate any such programs at any time without notice.

• Rewards or incentives offered as part of these programs are not guaranteed and may be subject to eligibility criteria, limitations, expiration dates, and verification of compliance with program rules. Any misuse or abuse of a referral or incentive program, as determined by Travlist AI in its sole discretion, may result in disqualification from the program, reversal of rewards, or account suspension.

5.  License to Use the Platform

• Subject to your compliance with these Terms, Travlist AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use only. This license is provided solely for the purpose of enabling you to use and enjoy the benefit of the Service as provided by Travlist AI, in the manner permitted by these Terms.

• You agree not to copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any part of the Service except as expressly permitted by these Terms. Travlist AI reserves all rights not expressly granted herein in the Service and the Travlist AI content.

6.  Feedback and Suggestions

​

• If you provide Travlist AI with any feedback or suggestions regarding the Service (“Feedback”), you hereby assign to Travlist AI all rights in such Feedback and acknowledge that Travlist AI shall have the right to use and fully exploit such Feedback and related information in any manner it deems appropriate. Travlist AI will treat any Feedback you provide to Travlist AI as non-confidential and non-proprietary. You agree that you will not submit to Travlist AI any information or ideas that you consider to be confidential or proprietary.

7.  Ownership and Intellectual Property

 

• The Service and all content and materials included therein, including but not limited to the Travlist AI name and logo, visual interfaces, graphics, design, text, blog content, destination guides, informational materials, software, data, and other files, and the selection and arrangement thereof (collectively, “Travlist AI Content”), are the proprietary property of Travlist AI or its licensors. The Travlist AI Content is protected by copyright, trademark, patent, trade secret, and other laws, and, except as expressly authorized by Travlist AI, you may not make use of the Travlist AI Content.

• Travlist AI reserves all rights not expressly granted in these Terms. Any unauthorized use of the Travlist AI Content may violate these Terms and applicable laws.

​

• Informational Content Disclaimer. Any information provided through our public-facing site (including blog posts, travel recommendations, and platform descriptions) is for general informational purposes only. We do not guarantee the accuracy, completeness, or timeliness of such content, and it should not be relied upon as professional or legal advice.

​

• You may not:

  • Modify, copy, reproduce, create derivative works of, republish, post, transmit, or distribute in any way any Travlist AI Content without our express prior written consent;

  • Frame or utilize framing techniques to enclose any Travlist AI trademark, logo, or other proprietary information;

  • Use any meta tags or other “hidden text” utilizing the Travlist AI name or trademarks;

  • Use any data mining, bots, scraping, or similar data gathering or extraction methods in connection with the Service.

8.  Termination

​

• You agree that Travlist AI, in its sole discretion, may suspend or terminate your account (or any part thereof) or use of the Service and remove and discard any content within the Service, for any reason, including for lack of use or if Travlist AI believes that you have violated or acted inconsistently with the letter or spirit of these Terms. Any suspected fraudulent, abusive, or illegal activity may be referred to appropriate law enforcement authorities.

• Travlist AI may also in its sole discretion and at any time discontinue providing access to the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of these Terms may be effected with or without prior notice.

9.  Disclaimers; No Warranties

​

• The Service and all materials, recommendations, data, content, and functionality available through it are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. To the fullest extent permissible under applicable law, Travlist AI disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

• Travlist AI makes no representations or warranties that:

  • The Service or any content therein will be error-free, accurate, or complete;

  • Any data, recommendations, insights, or AI-generated outputs will be reliable, relevant, or suitable for any particular use or decision;

  • The Service will be secure, uninterrupted, or available at any particular time or location;

  • Any defects or errors will be corrected;

  • The Service or the servers that make the Service available are free of viruses or other harmful components.

• Travlist AI provides AI-powered tools and recommendations to support users' exploration of a variety of travel options and trip planning efforts. AI is experimental and may make mistakes. By using the Service, you acknowledge and agree that outputs generated by AI or data-driven systems may be incomplete, outdated, biased, or inaccurate, and should not be solely relied upon for decision-making. You are solely responsible for evaluating and validating the suitability of any search results, suggestions, DIY guidance, or other content or output encountered through use of the Service.

• Travlist AI will not be held liable for any decisions made or actions taken in reliance on AI-generated results, recommendations, or insights.

​

• Travlist AI does not and cannot guarantee the safety, suitability, or advisability of any activity, location, route, or recommendation presented through the Service. You acknowledge that travel involves inherent risks, including but not limited to exposure to hazardous environments, political instability, crime, health risks, or unpredictable conditions. By using the Service, you assume full responsibility for your actions and decisions and agree that Travlist AI is not liable for any injury, loss, damage, or harm arising from your use of or reliance on any content, suggestions, or travel-related guidance provided by the Service.

• You agree to indemnify and hold harmless Travlist AI, its affiliates, officers, employees, agents, and licensors from any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney’s fees) arising from or related to your use of the Service, including any reliance on AI or automated features.

10.  Limitation of Liability

​

• To the fullest extent permitted by applicable law, in no event shall Travlist AI, its affiliates, directors, officers, employees, agents, partners, suppliers, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or related to your access to or use of, or inability to access or use, the Service or any content therein, regardless of the legal theory, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not Travlist AI has been informed of the possibility of such damage.

• Without limiting the foregoing, Travlist AI is not responsible for any liability resulting from:

  • Errors, mistakes, or inaccuracies of content (including AI-generated insights or recommendations);

  • Personal injury, property damage, or harm resulting from your access to or use of the Service;

  • Unauthorized access to or use of our servers or any personal information stored therein;

  • Interruption or cessation of transmission to or from the Service;

  • Bugs, viruses, trojan horses, or similar issues transmitted through the Service by any third party;

  • Your use of or reliance on any third-party sites, content, or services linked through the Service.

• In no event shall Travlist AI’s total liability to you for all claims relating to the Service exceed one hundred U.S. dollars ($100).

​

• Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

​

• If you are dissatisfied with the Service, any content therein, or these Terms, your sole and exclusive remedy is to discontinue use of the Service.

11.  Indemnification

​

• You agree to defend, indemnify, and hold harmless Travlist AI, its affiliates, licensors, service providers, officers, directors, employees, contractors, agents, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms or your use of the Service;

  • Your User Content, including any claims that such content infringes or misappropriates any intellectual property rights or violates applicable law;

  • Your interaction with other users of the Service or any third party;

  • Your reliance on any information obtained from the Service, including but not limited to AI-generated content, travel recommendations, or DIY guidance;

  • Your participation in any referral, reward, or promotional programs offered through the Service;

  • Any breach of applicable law or the rights of a third party.

• Travlist AI reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Travlist AI and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Travlist AI.

​

12.  Governing Law; Dispute Resolution and Arbitration

​

• Governing Law. These Terms and any action related thereto will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. You agree to submit to the personal jurisdiction of the federal and state courts located in Delaware for the purpose of litigating any claims or disputes, except as otherwise provided in the arbitration clause below.

• Dispute Resolution and Arbitration. Please read this section carefully, as it requires you to arbitrate certain disputes and claims with Travlist AI and limits how you can seek relief from us.

​

• Informal Resolution. Before initiating arbitration or filing a claim in small claims court, you agree to first attempt to resolve the dispute informally by contacting us at info@travlist.ai. Most disputes can be resolved that way. If a dispute is not resolved within thirty (30) days of submission, either party may proceed to arbitration.

​

• Except for small claims disputes in which you or Travlist AI seek individual relief in a small claims court located in the county of your billing address or in Delaware, all disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules then in effect.

• Unless otherwise agreed by both parties, arbitration will take place in Delaware. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. You and Travlist AI agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action.

• Arbitration Costs. Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules. If you initiate arbitration, you will be required to pay the AAA's filing fee, unless you are entitled to a waiver under AAA rules. Travlist AI will not seek attorneys’ fees or costs in arbitration unless the arbitrator determines that your claim is frivolous.

• Confidentiality. All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of all parties.

​

• Opt-Out. You have the right to opt out of the arbitration agreement. If you do not wish to be bound by the arbitration agreement, you must notify us in writing within 30 days of the date you first accept these Terms by emailing us at info@travlist.ai, with the subject line: “Arbitration Opt-Out” and include your full name and address in the body of the email. If you opt out of the arbitration agreement, all other parts of these Terms will continue to apply to you.

• Time Limit for Claims. You agree that any claim you may have arising out of or related to your relationship with Travlist AI must be filed within one year after such claim arises; otherwise, your claim is permanently barred.

​

13.  General Provisions

​

• Entire Agreement. These Terms constitute the entire and exclusive understanding and agreement between Travlist AI and you regarding the Service, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Travlist AI and you regarding the Service.

​​

• Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without the prior written consent of Travlist AI. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. Travlist AI may freely assign or transfer these Terms without restriction.

​​

• Waiver and Severability. The failure of Travlist AI to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

​​

• Force Majeure. Travlist AI will not be held responsible for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, governmental actions, utility or equipment failures, or Internet disturbances.

​​

• No Agency. No agency, partnership, joint venture, or employment relationship is created as a result of these Terms, and neither party has any authority of any kind to bind the other in any respect.

​​

• Notices. All notices or other communications permitted or required under these Terms will be in writing and given: (i) by Travlist AI via email (in each case to the address that you provide), or (ii) by posting to the Service. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.

​​

• Notice for California Users. Under California Civil Code § 1789.3, California users of the Service are entitled to the following specific consumer rights notice: You may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Sacramento, CA 95834, or by telephone at (800) 952-5210.

• U.S. Government Restricted Rights. The Service and related documentation are “Commercial Items,” as that term is defined at 48 C.F.R. § 2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation,” as such terms are used in 48 C.F.R. § 12.212 or 48 C.F.R. § 227.7202. Consistent with those provisions, the Service is provided to U.S. Government end users only as a commercial item and with only those rights as are granted to all other end users pursuant to the Terms.
